Terms of Service

Definitions

"Service" means Pulse CRM. "Customer" means the entity that signs up. "User" means any individual authorized by Customer. "Customer Data" means data Customer uploads to the Service.

Account

You must be 16+ to use Pulse. You are responsible for safeguarding your account credentials and all activity under your account. Notify us immediately of any unauthorized access.

Acceptable use

Customer agrees to the Acceptable Use Policy. Violations may result in suspension or termination.

Fees and billing

Paid plans are billed monthly or annually in advance. Annual plans auto-renew unless cancelled. Failure to pay may result in suspension after 14 days notice.

Cancellation and refunds

You may cancel at any time from your account settings. Monthly plans are non-refundable. Annual plans are refundable within 30 days, prorated thereafter.

Intellectual property

Pulse retains all rights to the Service, including software, design, and documentation. Customer retains all rights to Customer Data. Customer grants Pulse a limited license to host and process Customer Data to provide the Service.

Confidentiality

Each party agrees to protect the other's confidential information using the same standard of care it uses for its own.

Warranties and disclaimers

Pulse is provided "as is" without warranties of any kind, except as expressly provided in a separate written agreement.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Total liability is capped at fees paid in the 12 months preceding the claim.

Indemnification

Each party will defend the other against third-party claims arising from its breach of these Terms, subject to customary indemnification procedures.

Term and termination

These Terms apply as long as Customer uses the Service. Either party may terminate for material breach after 30 days notice and failure to cure.

Dispute resolution

Disputes will be resolved first by good-faith negotiation, then by binding arbitration in San Francisco, California, under AAA commercial rules.

Governing law

These Terms are governed by the laws of the State of California, excluding its conflict-of-law rules.

Changes

Pulse may update these Terms with 30 days notice for material changes. Continued use after the effective date constitutes acceptance.
